Capital Structure

On 29 September 2011, the General Meeting decided on a capital increase of CHF 15 million to CHF 65 million. The current share capital is CHF 65 million, divided into 62,000 "Series A" bearer shares with a nominal value of CHF 1000, and 3000 "Series B" bearer shares with a nominal value of CHF 1000, all of which have one voting right.

The "Series A" bearer shares were traded on the securities exchange (Zurich Stock Exchange) from 1982 and, since 1996, have been traded on the SIX Swiss Exchange in the Domestic Standard segment.

The unquoted "Series B" bearer shares each have an unlimited option to buy max. 10 "Series A" bearer shares in the event of a capital increase (however, only 1500 of them are still entitled to exercise this right).

About 82% of the shares are owned by the Management Board. The majority shareholder, with a holding of about 64%, is Dr. Peter Grogg, founder of the Bachem Holding AG, also based in the Basel area. Dr. Grogg bought the majority shareholding from the company founder Fritz Buser in 2009.  The proportion of free-float ("Series A") shares is about 20%. These bearer shares are in the hands of about 300 small shareholders.

In addition to what is normally an attractive cash dividend, shareholders also receive other "benefits in kind", in the form of an annual hotel voucher worth CHF 30 per share which can be used in payment at any Sunstar hotel (up to a sum of 50% of the bill on a bed and breakfast basis; excl. the main winter season and New Year period), plus (where more than 10 shares are owned), a discount of 10% on the overnight tariff (excl. the main winter season and New Year period).

It is also worth remembering the annual General Meeting in the Sunstar Parkhotel Davos, where shareholders are treated to lunch including drinks and a free night in one of the Sunstar hotels in Davos or Klosters (provided 3 nights are paid for).
